These Terms of Service ("Terms") govern your use of the EZ Dental Solutions website and Services. By using our website or signing a service agreement with us, you agree to these Terms.
EZ Dental Solutions provides dental practice consulting, revenue cycle management, virtual assistance, recruiting, coaching, and training services. The specific scope of services purchased by a Customer is set forth in a separate Service Agreement.
You represent that you are at least 18 years old and authorized to enter agreements on behalf of the entity you represent.
Fees, payment terms, and any guaranteed-rate periods are set forth in your Service Agreement. Late payments may accrue interest as set forth in that agreement. Fees are non-refundable unless expressly provided.
The EZ Dental Solutions name, logo, training materials, course content, templates, scripts, and website are owned by us or our licensors. Customers receive a limited, non-exclusive, non-transferable license to use materials provided as part of the Services solely for the Customer's internal practice operations. Reproduction, redistribution, or resale is prohibited.
While we use our experience and best efforts to help practices improve, outcomes depend on many factors outside our control. We do not guarantee specific revenue, collections, recruiting, or performance results.
To the maximum extent permitted by law, EZ Dental Solutions's aggregate liability under or in connection with the Services will not exceed the amounts paid to us by the Customer in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, consequential, special, or punitive damages.
Service Agreements are month-to-month unless otherwise stated, with the notice period specified in the Agreement. Either party may terminate for material breach as set forth in the Agreement.
These Terms are governed by the laws of the State of [GOVERNING_STATE], without regard to its conflict-of-laws provisions. Disputes will be resolved as provided in your Service Agreement.

EZ Dental Solutions takes Protected Health Information ("PHI") seriously. When we provide Services that involve PHI on behalf of a Customer (a "Covered Entity" under HIPAA), we operate as a Business Associate.
Before any PHI is shared, EZ Dental Solutions and the Customer enter into a written BAA. The BAA governs permitted uses and disclosures, safeguards, breach notification, subcontractor flow-down, and termination obligations.
We maintain administrative, physical, and technical safeguards reasonably designed to protect the confidentiality, integrity, and availability of PHI in our possession, including:
Any subcontractor that creates, receives, maintains, or transmits PHI on our behalf is required to agree in writing to safeguards substantially equivalent to those that apply to us under the BAA.
If we discover a Breach of Unsecured PHI, we will notify the affected Customer without unreasonable delay and within the timeframes required by HIPAA and the BAA.
Patient rights under HIPAA — access, amendment, accounting of disclosures, restrictions, and confidential communications — are the Customer's responsibility as Covered Entity. We support the Customer in fulfilling those rights as required by the BAA.
